Before the Court is Defendant Synopsys, Inc.’s (“Synopsys”) motion to dismiss (ECF 52), which was heard before this Court on May 8, 2024, and Plaintiff Paylocity Corporation’s (“Paylocity”) motion for leave to file an amended complaint (ECF 78), which is suitable for determination without further oral argument. Having read the parties’ papers and carefully considered their arguments and the relevant legal authority, and good cause appearing, the Court hereby GRANTS Synopsys’s motion to dismiss and DENIES Paylocity’s motion for leave to file its proposed amended complaint, for the following reasons.
