12 Before the Court is Defendants’ motion to dismiss the second amended complaint. ECF 71. Because the Court determined the motion was suitable for decision without oral argument, it vacated the May 8, 2025 hearing. See Civ. L.R. 7-6. This Order assumes familiarity with the facts and procedural history of this case, including the Court’s Order dismissing the first amended complaint, ECF 60. Having read the papers submitted by the parties and carefully considered the arguments therein, as well as the relevant legal authority, the Court hereby GRANTS the motion for the following reasons.
