16 American Zurich Insurance Company (“American Zurich”) filed a breach of contract suit against various defendants for unpaid insurance policy premiums and deductibles. Doc. 34 (Second Amended Complaint (“SAC”)). Although American Zurich issued the insurance policies to ESG Republic, Inc., it contends that the other defendants are also liable for breach of contract, including through alter ego, successor liability, merger, and joint and several liability theories of liabilities.
