INTRODUCTION 14 Plaintiff Minit Mart LLC (“Minit Mart”) filed a complaint for breach of contract and 15 declaratory judgment against Defendant Synergy Petroleum Enterprises, Inc. (“Synergy”), alleging 16 Synergy failed to perform its obligations under an April 14, 2023, Purchase and Sale Agreement. 17 ECF No. 20.1 Pending before the Court are the parties’ cross-motions for summary judgment. 18 ECF Nos. 49 (“Def.’s Mot.”), 47 (“Pl.’s Mot.”).2 The Court finds these motions suitable for 19 disposition without oral argument and VACATES the July 3, 2025, hearing. See CIV.
