17 18 This matter is before the Court on defendant Alacrity Solutions Group’s motion to dismiss 19 plaintiff Pinnacle Bank’s first amended complaint (“FAC”) for failure to state a claim and 20 improper venue. (ECF Nos. 23, 25.) The parties have consented to Magistrate Judge jurisdiction 21 to conduct all proceedings in the case, including the entry of final judgment. (ECF Nos. 7, 14, 22 15.) On September 17, 2025, the Court held a hearing via Zoom.
