INTRODUCTION 18 Plaintiffs It’s My Seat, Inc. and Vahe Shahinian (collectively “Plaintiffs”) 19 initiated this action against Defendants EIN CAP, Inc., Kevin Woodley, Gene Slavin, 20 and Russell Naftali (collectively “Defendants”), for the alleged fraudulent inducement 21 of a merchant cash advance agreement.1 (Notice Removal (“NOR”) Ex. A (“Compl.”), 22 ECF No. 1.) Defendants now move to transfer the action to the United States District 23 Court for the Southern District of New York pursuant to a forum selection clause in the 24 cash advance agreement. (Mot. Dismiss or Transfer (“Motion” or “Mot.”), ECF 25 No. 69.) For the following reasons, the Court DENIES Defendants’ Motion.2 26
