Pending before the undersigned is defendants’ motion to dismiss the second amended complaint pursuant to Rules 12(b)(1) and 12(b)6) of the Federal Rules of Civil Procedure. (ECF No. 41.) For the reasons stated below, the undersigned recommends that defendants’ motion to dismiss be granted and the second amended complaint be dismissed without further leave to amend.
