Having considered the submissions of the parties, the relevant 20 law, and the record in this case, the Court GRANTS in part and DENIES in part Defendants’ 21 motion. 22 I. BACKGROUND 23 Plaintiff Primrose Alloys, Inc. (“Primrose”) is a California corporation with its principal 24 place of business in Burlingame, California. FAC ¶ 1. Plaintiff Navigation Holdings, LLC, d/b/a 25 Xi Dong Partners (“Xi Dong”), a subsidiary of Primrose, is a Delaware corporation with its 26 principal place of business in Burlingame, California. Id. ¶¶ 2, 18. Primrose and Xi Dong 27 (collectively, “Plaintiffs”) work in the supply of “high quality aluminum…
