12 This is a securities class action against defendants Stitch Fix, Inc. and its CEO, Katrina Lake; CFO, Paul Yee; and COO, Mike C. Smith. Court-appointed lead plaintiff Ganesh Kasilingam filed a consolidated complaint on behalf of all purchasers of Stitch Fix common stock between June 8, 2018, and October 1, 2018. The complaint alleges that defendants made false and misleading statements in violation of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934, 15 U.S.C. §§ 78j(b), 78t(a), and Securities and Exchange Commission Rule 10b-5. Dkt. No. 92. Defendants moved to dismiss the complaint for failure to state a claim, citing the Private Securities Litigation Reform Act of 1995 (“PSLRA”), 15 U.S.C. § 78u-4, and Rules 8, 9(b) and 12(b)(6) of the Federal Rules of Civil Procedure.
