On February 18, 2020, Plaintiff Logtale, Ltd. (“Logtale”) filed this action against James Canton, Gayle Canton, and the Institute for Global Futures (“IGF”) (collectively, “Defendants”). [Docket No. 1.] On June 3, 2021, Logale filed its Second Amended Complaint (“SAC”). [Docket No. 92.] IGF now moves to dismiss direct liability claims against it in the SAC. See Mot. [Docket No. 96]; Reply [Docket No. 102.] Logtale opposes (“Opp’n”). [Docket No. 101.] This matter is suitable for determination without oral argument. Civ. L.R. 7-1(b).
