Counter-Defendant. 20 Plaintiff BJB Electric LP filed this lawsuit alleging that Defendant Bridgelux, Inc. 21 breached a Letter Agreement requiring Defendant either to purchase a minimum number of LED 22 holders within four years of the product’s first availability (through October 2020) or to pay 23 liquidated damages. Defendant counterclaimed, alleging Plaintiff breached the Letter Agreement 24 beginning in April 2022 by changing the terms of the Agreement and refusing to deliver any 25 additional LED holders unless payment was made prior to delivery.
